UpKopp Ltd (Co. Reg 14648223) is a UK-registered limited company based in Norwich, providing web design, development and SEO services. By engaging UpKopp — through a signed proposal, paid invoice or written agreement — you accept these terms.

UpKopp provides web design, development, content management, search engine optimisation and growth audits. The exact scope of each engagement is set out in the proposal that accompanies these terms.

Fees are quoted in pounds sterling (GBP). Unless stated otherwise, UpKopp invoices 50% on engagement and 50% on delivery. Invoices are payable within 14 days. Late payment may incur statutory interest under the Late Payment of Commercial Debts Act 1998.

On full payment of all outstanding invoices, intellectual property in the final accepted deliverables transfers to the client. UpKopp retains rights to internal libraries, methodologies and the right to feature the work in its portfolio unless otherwise agreed in writing.

Either party may end an engagement at any time with written notice. The client pays for all work completed up to the cancellation date. Initial deposits cover discovery and onboarding work and are non-refundable.

Total liability for any engagement is capped at the total fees paid by the client for that engagement. UpKopp is not liable for indirect, consequential or business losses, including loss of profit or data. Nothing in these terms limits liability for fraud or for death or personal injury caused by negligence.

UpKopp treats all non-public client information as confidential and will not share it with third parties without prior consent, except where required by law. A separate NDA can be signed where requested.

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the English courts. Questions? Email hello@upkopp.co.uk.
